Terms and Conditions

These Terms and Conditions ("Terms") govern the use of services provided by GracePoint Medical Staffing, LLC ("GracePoint," "Company," "we," "us," or "our"). By engaging our services, the client ("Client," "you," or "your") agrees to be bound by these Terms.

1. Services Provided

GracePoint Medical Staffing, LLC is a healthcare staffing agency that specializes in the recruitment, screening, placement, and assignment of qualified healthcare professionals, including but not limited to caregivers, certified nursing assistants (CNAs), home health aides, and nurses.

Our services may include non-medical and medical support such as assistance with activities of daily living, personal care, companionship, and skilled nursing services, as outlined in the agreed-upon Plan of Care.

GracePoint does not guarantee specific outcomes and does not provide medical diagnoses or replace the services of licensed physicians.

2. Nature of the Relationship

a. Agency Role

Caregivers assigned through GracePoint are employees of GracePoint Medical Staffing, LLC or work under our legal authority as staffing agents, unless otherwise stated in writing. GracePoint is responsible for payroll, applicable taxes, and workers' compensation coverage for its staff.

b. Non-Solicitation / No Direct Hire

The Client agrees not to directly employ, contract with, or otherwise engage any caregiver or healthcare professional introduced by GracePoint outside of GracePoint's services during the term of service and for a period of twelve (12) months following termination of services.

Violation of this provision may result in a placement or conversion fee in the amount of $7,500.00, which reflects recruitment, training, and administrative costs.

3. Client Responsibilities

To ensure safe, effective, and quality care, the Client agrees to:

  • Provide a clean, safe, and sanitary working environment free from known hazards.
  • Fully disclose all relevant medical conditions, diagnoses, allergies, medications, mobility limitations, and behavioral considerations of the care recipient.
  • Supply necessary equipment required for care (e.g., wheelchairs, lifts, walkers, hospital beds).
  • Designate a reliable emergency contact or primary decision-maker who can be reached at all times.

Failure to meet these responsibilities may result in suspension or termination of services.

4. Care Plans and Medical Decisions

a. Scope of Care

Caregivers will perform only those tasks specifically outlined in the Plan of Care developed during the intake and assessment process. Any material changes to care needs must be communicated promptly and may require an updated Plan of Care.

b. Medical Emergencies

In the event of a medical emergency, caregivers are instructed to contact 911 or local emergency services immediately. GracePoint is not an emergency medical response provider and is not responsible for delays or outcomes related to emergency response services.

5. Billing and Payment Terms

a. Invoicing

Clients will be invoiced on a weekly / bi-weekly basis, unless otherwise agreed in writing.

b. Payment Due Dates and Late Fees

Payments are due within seven (7) days of the invoice date. Accounts with unpaid balances beyond this period may be subject to late fees, service suspension, or termination.

c. Minimum Shift Requirements

A minimum shift length of four (4) hours per visit applies unless otherwise negotiated and confirmed in writing.

6. Cancellation Policy

a. Standard Cancellations

Clients must provide at least 24 hours advance notice to cancel or reschedule a scheduled shift.

b. Late Cancellations

Cancellations made without sufficient notice may result in a charge equal to 50% of the scheduled shift cost.

7. Limitation of Liability and Insurance

GracePoint maintains professional liability insurance and workers' compensation coverage for its staff in accordance with applicable law. To the fullest extent permitted by law, GracePoint shall not be liable for:

  • Loss, theft, or damage to personal property within the Client's home.
  • Injuries or incidents resulting from undisclosed medical conditions, inaccurate information, or unsafe working environments.
  • Injuries arising from the absence or misuse of required medical or mobility equipment.

GracePoint's total liability, if any, shall not exceed the total fees paid by the Client for services during the three (3) months preceding the incident.

8. Confidentiality and HIPAA Compliance

GracePoint Medical Staffing, LLC complies with all applicable federal and state privacy laws, including the Health Insurance Portability and Accountability Act (HIPAA). We safeguard Protected Health Information (PHI) and limit disclosures to those necessary for treatment, payment, healthcare operations, or as otherwise required by law.

Clients agree to respect the confidentiality of GracePoint staff and proprietary business information.

9. Termination of Services

Either party may terminate services with written notice, subject to outstanding invoices, cancellation policies, and non-solicitation obligations. GracePoint reserves the right to terminate services immediately if conditions pose a safety risk or violate these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which GracePoint Medical Staffing, LLC is registered, without regard to conflict of law principles.

11. Amendments

GracePoint reserves the right to update or modify these Terms at any time. Continued use of services constitutes acceptance of any revised Terms.
